1. The Service and eligibility
Waybill supports business procurement and inventory workflows, which may include requests, sourcing, supplier communications, approvals, checkout assistance, tracking, receiving, and stock records. Available features depend on your workspace, plan, enabled integrations, and current availability. Descriptions of possible workflows do not guarantee that every feature or supplier is supported.
You must be at least 18 and legally able to enter into a contract. You are responsible for ensuring that your use, purchases, and instructions comply with applicable law and your organization’s policies. A separate written agreement with Waybill controls over these Terms to the extent of a conflict.
2. Accounts and workspaces
Provide accurate account and organization information, protect your credentials, and notify us promptly of suspected unauthorized access. You are responsible for authorized users and activity under your control. Workspace administrators may manage membership, permissions, connected services, and workspace information. Ensure that only people with appropriate authority can approve purchases or payments.
Connect third-party accounts only when you have permission to do so. Protect supplier, email, payment, and other credentials, and use supported connection methods. Do not submit credentials or sensitive information unrelated to an enabled workflow.
3. Instructions and approvals
You authorize Waybill to perform the actions you request through enabled workflows and the permissions and approvals you provide. This authority is limited to those instructions and their stated scope. Connecting an account or asking for a recommendation does not, by itself, authorize an unrelated purchase, payment, or supplier commitment.
Review the supplier, part number, specification, quantity, currency, total price, shipping details, taxes, and other material terms before authorizing a transaction. Changes outside an approved scope require further authorization. Where you enable standing permissions or automated workflows, you are responsible for setting appropriate limits and reviewing their activity.
A draft, recommendation, approval click, checkout attempt, or processing status is not confirmation that a supplier accepted an order or a payment provider completed a charge. Rely on the applicable provider’s confirmation and transaction records. If a result is unclear, verify it before retrying to avoid duplicate orders or charges.
4. Goods, suppliers, and fulfillment
Prices, stock levels, lead times, specifications, and supplier information can change. Unless expressly stated in a binding quote or order agreement, information shown in Waybill is not a guaranteed offer or availability commitment.
The applicable quote, order agreement, and supplier terms determine the seller, any purchasing or agency role, and responsibility for fulfillment, warranties, shipping, customs, and returns. Waybill’s role may differ between transactions. Nothing here removes obligations that Waybill expressly accepts or that applicable law imposes.
Cancellations, returns, refunds, and changes depend on applicable law and the relevant order and provider terms. A request through Waybill does not guarantee acceptance. Inspect delivered goods and promptly report shortages, damage, or discrepancies through the applicable process. You remain responsible for validating suitability for your intended use.
5. Fees and payments
Service fees, billing periods, and any renewal or cancellation conditions will be disclosed in the applicable plan, checkout, or written agreement before you commit. Supplier charges, shipping, taxes, duties, and payment-provider charges are separate unless expressly included. These Terms alone do not authorize an undisclosed fee or recurring charge.
Payment and checkout services may be provided by third parties, whose applicable terms also govern their services. You must have authority to use the payment method and provide accurate billing information. Refunds owed under an agreement or applicable law remain payable. Suspending or closing your Waybill account does not automatically cancel an accepted supplier order or reverse a completed payment.
6. AI and verification
Waybill uses automated systems and AI, which can produce incomplete, outdated, or incorrect results. Review outputs against source documents and authoritative supplier information. You are responsible for engineering decisions, component compatibility, regulatory requirements, and purchasing approvals.
Do not rely on Waybill as a fail-safe system or as the sole basis for medical, safety-critical, defense, or other high-consequence decisions. Such uses require independent validation, appropriate professional review, and any required approvals. Waybill does not replace engineering, legal, tax, customs, or other professional advice.
7. Your content and confidentiality
You retain ownership of information, files, and other content you provide. You grant Waybill a limited permission to host, process, transmit, and display that content as necessary to provide the Service, carry out your authorized instructions, maintain security, and meet legal obligations. This permission does not transfer ownership of your content.
You must have the rights and permissions needed to provide content and authorize its processing. We will use reasonable care to protect your nonpublic business information and limit access to people and service providers who need it for authorized purposes and are subject to appropriate confidentiality obligations. Disclosures you authorize to suppliers or other recipients, and disclosures legally required, are permitted.
Personal information is handled as described in our Privacy Policy. Your organization’s instructions and any applicable data-processing agreement also govern information processed on its behalf.
8. Acceptable use and intellectual property
Do not use the Service unlawfully, infringe others’ rights, misrepresent your purchasing authority, send unauthorized communications, introduce malware, bypass access controls, disrupt systems, or attempt unauthorized access. Comply with applicable sanctions, export controls, and restrictions on goods and technical information.
Waybill and its licensors retain rights in the Service, software, branding, and documentation. Subject to these Terms, you may use the Service for your organization’s business purposes. This does not grant rights to resell the Service or copy its protected elements except as permitted by law or written agreement.
9. Third-party services and availability
Integrations depend on third-party availability, permissions, and terms. Providers may change, suspend, or discontinue access. Waybill does not control independent providers, but remains responsible for obligations it undertakes regarding its own Service. Unless separately agreed, no particular uptime, response time, integration, or uninterrupted access is guaranteed.
10. Suspension and termination
You may stop using the Service and request account closure at hello@waybill.to. We may restrict access for material breaches, security threats, legal requirements, or nonpayment of agreed fees. Where practicable, we will give notice and an opportunity to resolve the issue. We may act immediately when necessary to protect users, systems, or legal compliance.
For other discontinuation, we will provide reasonable advance notice. Contact us about retrieving workspace information before closure; retention and deletion are addressed in our Privacy Policy and applicable agreements. Termination does not extinguish accrued payment obligations, refunds owed, or obligations concerning accepted transactions.
11. Disclaimers and liability
Except for express commitments in an applicable agreement and to the extent permitted by law, the Service is provided as available, without implied warranties of merchantability, fitness for a particular purpose, or noninfringement. We do not guarantee that outputs will be accurate or that the Service will be error-free.
To the extent permitted by law, neither party is liable under these Terms for indirect, incidental, special, or consequential loss, including lost profits. Waybill’s total liability arising from the Service is limited to the greater of US$100 or the Service fees you paid Waybill during the 12 months preceding the event giving rise to the claim. Supplier purchase amounts and taxes are not Service fees.
These exclusions and limits do not apply to fraud, gross negligence, willful misconduct, liability that cannot lawfully be excluded or limited, customer purchase funds Waybill holds, or refunds Waybill owes. Nothing in these Terms limits mandatory statutory rights.
12. Changes, general terms, and contact
We may update these Terms prospectively. We will provide reasonable advance notice of material changes by email or in the Service, except when a legal or urgent security requirement requires a shorter period. The notice will explain when changes take effect. Changes do not retroactively alter accepted orders or accrued rights.
If a provision is unenforceable, the remaining provisions continue to apply. A failure to enforce a provision is not a waiver. Provisions concerning ownership, confidentiality, accrued obligations, and liability survive termination where needed to give them effect. Contact Waybill, Inc. at hello@waybill.to with questions or notices concerning these Terms.
